The auctioneer has the right to refuse to adjudicate any lot to someone he knows to be a bad debtor to protect the vendor's interest. Baer & Bosch Auctioneers, Inc. and/or its group of companies will at times, have financial interests in some of the lots. In addition to the hammer price, a buyer's premium is payable as follows: twenty-two percent (22%) of each lot. On the fall of the gavel, liability for the knockdown lot (lots) passes to the bidder whose bid has been accepted. Lots will be released to the buyer's shipper when the hammer price, the buyer's premium, and shipping costs have been paid in full. In the case of late payment of more than 12 days, the buyer forfeits all of his rights, and Baer & Bosch Auctioneers, Inc. may accordingly take all appropriate steps to protect its interests and/or those of the vendor, including claiming damages and interest. Baer & Bosch Auctioneers, Inc. may renounce on the execution of the sale, claim damages and interest, and also protect its interests, concern itself no longer bound by the conditions of the contract. The buyer who has the late payment beyond 12 days accepts that Baer & Bosch Auctioneers, Inc. may cancel the sale, have the right to resell the property, and charge a penalty equivalent to the buyer's premium, vendor's commission, which would have been earned had the sale been completed in a normal manner, collection costs, attorney's fees, and cost, expenses, and incidental damages incurred by us or by the consignor arising out of the purchaser's breach. In case of receiving a delayed payment, Baer & Bosch Auctioneers, Inc. is not responsible for the purchased lots, expressly any disappearances, changes, or damage caused or incurred. Baer & Bosch Auctioneers, Inc. is not liable for any errors or failures by bidders to place bids using the online platform via the Internet or a mobile device, including, without limitation, errors or failures caused by any loss of connection between bidders and the online platform, a breakdown or fault of the online bidding software or technical services that relate to the online platform, and/or a breakdown or fault with any internet connection, computer, mobile device, or system. If Baer & Bosch Auctioneers refers any invoice to an attorney for collection, the Bidder agrees to pay all attorney's fees, court costs, and other collection costs incurred by Baer & Bosch Auctioneers. If Baer & Bosch Auctioneers assigns collection to its in-house counsel, such attorney's time expended on the matter shall be compensated at a rate comparable to the hourly rate of independent attorneys. Baer & Bosch Auctioneers Inc. shall have a lien against the merchandise purchased by the Bidder to secure payment of the Auction invoice. Baer & Bosch Auctioneers is further granted a lien and the right to retain possession of any other property of the Bidder then held by Baer & Bosch Auctioneers Inc. or its affiliates to secure payment of any Auction invoice or any other amounts due Baer & Bosch Auctioneers Inc. or affiliates from the Bidder. With respect to these lien rights, Baer & Bosch Auctioneers shall have all the rights of a secured creditor, including but not limited to the right of sale. In addition, with respect to payment of the Auction invoice(s), the Bidder waives any and all rights of offset he might otherwise have against Baer & Bosch Auctioneers and the consignor of the merchandise included on the invoice (the "Consignor"). If a Bidder owes Baer & Bosch Auctioneers or its affiliates on any account, Baer & Bosch Auctioneers and its affiliates shall have the right to offset such unpaid account by any credit balance due Bidder, and it may secure by possessory lien any unpaid amount by any of the Bidder's property in their possession. The title shall not pass to the successful Bidder until all invoices are paid in full. Payment is considered made and paid in full when it is at our disposal by the funding into our account. All bank wires, bank ACHs, Zelles (ZellePay.com), and Wise (Wise.com) should be made payable to Baer & Bosch Auctioneers, Inc. In an event of default, Baer & Bosch Auctioneers Inc. may, in addition to any other available remedies specifically including the right to hold the defaulting Bidder liable for the Purchase Price: (a) cancel the sale, retaining any payment made by the Bidder as damages (the Bidder understands and acknowledges that Baer & Bosch Auctioneers will be substantially damaged should such default occur, and that damages under sub-part (a) are necessary to compensate Baer & Bosch Auctioneers for such damages); (b) resell the property without reserve at public auction or privately; (c) charge the Bidder interest on the Purchase Price at the rate of one-half percent (0.5%) per month or the highest allowable interest rate; (d) take any other action that Baer & Bosch Auctioneers, in its sole discretion, deems necessary or appropriate to preserve and protect Baer & Bosch Auctioneers rights and remedies. Should Baer & Bosch Auctioneers resell the property, the original defaulting Bidder shall be liable for the payment of any deficiency in the purchase price and all costs and expenses associated therewith, including but not limited to insurance, warehousing, sales-related expenses, reasonable attorney fees, court costs, commissions, incidental damages, and any other charges due hereunder that were not collected or collectible. In the event that such Bidder is the successful Bidder on more than one lot and pays less than the purchase price for the total lots purchased, Baer & Bosch Auctioneers shall apply the payment received to such lot or lots that Baer & Bosch Auctioneers, in its sole discretion, deems appropriate. If Baer & Bosch Auctioneers does not exercise such discretion, the lots to which the payment shall be applied will be in descending order from the highest purchase price to the lowest. Any Bidder failing to comply with these Conditions of Sale shall be deemed to have granted Baer & Bosch Auctioneers a security interest in, and Baer & Bosch Auctioneers may retain as collateral such security for such Bidder's obligations to Baer & Bosch Auctioneers Inc, any property in Baer & Bosch Auctioneers possession owned by such Bidder. Baer & Bosch Auctioneers Inc. shall have the benefit of all rights of a secured party under the Uniform Commercial Code (U.C.C.) as adopted by the State of Wyoming.
